Litify LLC Services Agreement Referral Network

These Terms of Service (the “Agreement”) govern access to and use of the Litify Referral Network (the “Service”) provided by Litify LLC (“Litify”). By clicking “I Agree,” or by otherwise accessing or using the Service, you (“You”, or a “User”) agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its Affiliates to these terms and conditions, in which case the terms “You” and “Your” shall refer to such entity and its Affiliates. If you do not have such authority, or if you do not agree with these terms and conditions, you must not accept this Agreement and may not use the Service unless an authorized representative has accepted it on your behalf. “Affiliate” means, with respect to any entity or person, any other entity or person that now or in the future directly or indirectly controls, is controlled by, or is under common control with such entity or person or its successor entity, but only for so long as such control exists.

1. THE SERVICE

1.1 Purpose. The Service is a platform designed to facilitate the referral of legal matters between attorneys and law firms. Litify provides the technology to enable these connections but is not a law firm, a lawyer referral service, or a party to any attorney-client relationship formed through the Service.

1.2 Eligibility. The Service is intended for use by legal professionals. By registering, you represent that you are a licensed attorney in good standing or an authorized representative of a law firm. 

2. USER DATA AND LICENSE

2.1 Definition of User Data. “User Data” means any electronic data or information submitted by You to the Service, including case details, contact information, and referral notes.

2.2 Disclosure to Other Users. The Service is designed for information sharing. You acknowledge and agree that any User Data you input into the Service may be accessible to other Users of the Service. Litify will maintain the security of the platform in accordance with its standard security protocols, but Litify shall not be liable for the further disclosure of User Data by any User who receives such data through the Service or referral process. By using the Service, you acknowledge that there are no confidentiality expectations with respect to User Data submitted to the Service. 

2.3 License to Litify. You grant Litify a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and display User Data as necessary to provide the Service and to facilitate the referral process between You and other Users.

2.4 Responsibility for Data. You are solely responsible for the accuracy, quality, and legality of User Data and the means by which You acquired such data, including obtaining any necessary client consent for referrals.

3. COMPLIANCE AND INDEPENDENT JUDGMENT

3.1 Compliance. Litify’s provision of the Service does not create an attorney-client relationship between Litify and any User or any User’s client. You are solely responsible for ensuring that your use of the Service, including the referral of cases and any fee-sharing arrangements, complies with applicable law and rules governing the practice of law.

3.2 Independent Judgment. Users are responsible for performing their own due diligence before entering into a referral agreement with another User. Litify does not vet, endorse, or guarantee the competence of any User. 

4. PROPRIETARY RIGHTS

4.1 Intellectual Property. Subject to the limited rights expressly granted hereunder, Litify reserves all rights, title, and interest in and to the Service, including all related intellectual property rights.

4.2 Restrictions. You shall not (i) share Your password with any other individual; (ii) sell, resell, license, sublicense, distribute, make available, rent, or lease the Service; (iii) use the Service to store or transmit infringing, libelous, or otherwise unlawful or tortious material; (iv) attempt to gain unauthorized access to the Service or its related systems; (v) interfere with or disrupt the integrity or performance of the Service; (vi) copy the Service or any part, feature, function or user interface thereof; (vii) access the Service in order to build a competitive product or service or to benchmark with a product or service, or (viii) reverse engineer the Service to the extent such restriction is permitted by law.

5. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS-IS.” LITIFY MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. 

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL LITIFY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT OF ANY FEES YOU PAID HEREUNDER IN THE TWELVE MONTHS PRECEDING THE INCIDENT, OR (B) ONE HUNDRED DOLLARS ($100.00). IN NO EVENT SHALL LITIFY BE LIABLE FOR ANY LOST PROFITS, REVENUES, OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COVER OR PUNITIVE DAMAGES.

7. INDEMNIFICATION

You shall indemnify, defend, and hold harmless Litify against any claim, demand, suit, or proceeding made or brought against Litify by a third party (including your clients or other Users) arising from (i) Your use of the Service in violation of this Agreement, (ii) Your User Data, or (iii) Your failure to comply with applicable law or rules governing the practice of law.

8. TERMINATION

8.1 Termination. You may stop using the Service at any time. Litify reserves the right to terminate or suspend your access to the Service at its sole discretion, without notice, for conduct that Litify believes violates this Agreement or is harmful to other Users or Litify’s business interests.

8.2 Data Portability. Upon termination, Litify has no obligation to maintain or provide any User Data and may, unless legally prohibited, delete all User Data in its systems.

9. MISCELLANEOUS

9.1 Governing Law and Jurisdiction. This Agreement shall be governed by the laws of the State of New York, without regard to its conflict of laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

9.2 Modifications. Litify reserves the right, at its sole discretion, to modify or replace any part of this Agreement at any time. This may be necessary to reflect changes in the law, new features in the Service, or shifts in our business practices. For any material changes (as determined by Litify in good faith), we will provide notice at least thirty (30) days before the new terms take effect. Notice may be provided through the following methods: (a) an announcement banner within the Service dashboard; (b) an email sent to the address associated with your User account; or (c) a notification upon your next login. Your continued use of the Service after the effective date of any modifications constitutes your binding acceptance of the updated Agreement. If you do not agree to the new terms, your sole and exclusive remedy is to terminate your account and cease all use of the Service prior to the effective date.

9.3 Assignment. Litify reserves the right to assign, transfer, or delegate any of its rights and obligations under these Terms of Service to any third party at any time without notice or consent from the User. This includes, but is not limited to, assignments occurring by way of merger, acquisition, sale of assets, or by operation of law. You may not assign, transfer, or sublicense your rights or obligations under these Terms to any other person or entity without the prior written consent of Litify. Any attempted assignment by you in violation of this section shall be null and void.
